James S. Baillieu is an associate in the corporate practice group in the London office.  He is an English solicitor who trained at Covington.

Mr. Baillieu has broad experience in the corporate arena and his practice includes securities, corporate finance, mergers and acquisitions, private equity and venture capital and joint ventures and strategic alliances.  Mr. Baillieu works with clients in a wide range of industries, but has particular experience working with those operating in the financial, life sciences, technology and clean technology sectors.

Representative Matters

  • Advised Axis-Shield plc on the £235 million all cash public takeover offer from Alere, Inc., a US company listed on the New York Stock Exchange.  Axis-Shield is an international company focused on the development and manufacture of important in vitro diagnostic tests for use in clinical laboratories and at the point of care.  Axis-Shield is listed on the London Stock Exchange and also on the Oslo Stock Exchange.  Alere’s offer for the company was initially made on a hostile basis and vigorously defended by Axis-Shield and its advisors.  Ultimately, the board of Axis-Shield recommended an increased cash offer from Alere valuing the company at £235 million.
  • Advised a US multinational pharmaceutical company on the integration of a major acquisition in over 60 countries.
  • Advised Minster Pharmaceuticals PLC, an AIM-quoted drug development company specialising in compounds for the treatment of neurological and psychiatric conditions, on its recommended takeover by Proximagen Neuroscience PLC.
  • Represented Indian Energy Limited, an independent power producer operating wind farms in India, on its admission to AIM and £9.75 million placing.
  • Represented Piper Jaffray Ltd., the sole financial advisor, sponsor, underwriter and broker to Vernalis plc, the London main market listed development stage pharmaceutical company, on its £24 million placing and open offer of ordinary shares.
