Representative Matters

  • Kerr-McGee Corporation’s proposed $18 billion all cash merger with Anadarko Petroleum and its earlier $3.4 billion stock merger with Westport Resources Corporation; in a transaction valued at over $250 million, Kerr-McGee’s two step spin off of its chemicals business, renamed Tronox Incorporated post-spin; and Kerr-McGee’s successful defense against a proxy fight launched by Carl C. Icahn, resulting in a $4 billion buyback of common stock through a modified “Dutch Auction” tender offer.
  • UBS in its successful acquisition of Enron's North American electricity and natural gas and power trading business and Enron Online, in a deal valued at up to $8.0 billion.
  • UBS, as financial advisor to Duke Energy Corp. in its $6 billion merger with Cinergy Corp.
  • Lightyear Capital LLC’s acquisition of California power plants from Tractebel Energy, and its resale of these same plants to Countryside US Holding Corp.
  • Charlesbank Capital Partners, LLC’s purchase of midstream gas assets of El Paso Corporation through Regency Gas Services.
