    Sarah Griffiths counsels clients on a broad range of capital markets transactions and advisory matters, with particular experience in the life sciences, technology, and financial services industries. Sarah regularly represents domestic and foreign private issuers, ranging from development stage to large public companies, and investment banks in initial public offerings, follow-on equity offerings, pre-IPO financings, investment-grade and convertible debt offerings, and private placements. She also regularly advises public companies with SEC reporting, securities, and stock exchange compliance matters and on a variety of corporate governance matters, including board and committee composition and procedures, environmental, social and governance (ESG) issues, and internal and disclosure controls.

    • Represented Humacyte, Inc. in:
      • its $800 million deSPAC merger with Alpha Healthcare Acquisition Corp.; and
      • $225 million of preferred stock offerings.
    • Represented Republic Services, Inc. in:
      • $5.8 billion of senior notes offerings; and
      • the establishment of its $1 billion commercial paper program.
    • Represented Insmed Incorporated in public offerings of over $1 billion of convertible senior notes and over $800 million of common stock.
    • Represented NeuroSense Therapeutics Ltd. in its U.S. initial public offering of American Depositary Shares (ADSs) and warrants to purchase ADSs.
    • Represented Steakholder Foods Ltd. (formerly, MeaTech 3D Ltd.) in its U.S. initial public offering of ADSs and a subsequent registered direct offering.
    • Represented Lombard Medical, Inc. in its U.S. initial public offering of ordinary shares.
    • Represented Selecta Biosciences, Inc. in multiple equity offerings.
    • Represented Gilead Sciences Inc. in a $200 million equity investment in Arcus Biosciences Inc.
    • Represented GlaxoSmithKline plc in multiple equity investments in Vir Biotechnology Inc. totaling $370 million.

    • Represented the underwriters in the initial public offerings of Cidara Therapeutics, Inc., Nightstar Therapeutics plc, and Parnell Pharmaceutical Holdings Ltd.
    • Represented the underwriters in follow-on equity offerings by Corbus Pharmaceuticals Holdings, Inc., CTI Biopharma Corp., Immunic, Inc., Marinus Pharmaceuticals, Inc., Nabriva Therapeutics plc, Quotient Limited, Stemline Therapeutics, Inc., TG Therapeutics, Inc., Tracon Pharmaceuticals, Inc., and Zosano Pharma Corporation.
    • Represented the underwriters in subordinated notes offerings by Ameris Bancorp, Atlantic Union Bankshares Corporation, Flushing Financial Corporation, Independent Bank Group, Pacific Premier Bancorp, and Trustmark Corporation.
    • Represented the initial purchasers in a $240 million convertible note financing with capped call equity derivative by Kadmon Holdings, Inc.

    Advisory

    • Represented various public companies and their boards of directors on securities reporting and corporate governance matters, including board and committee independence, committee charters, codes of ethics, governance guidelines, insider trading, share repurchase programs, internal and disclosure controls, related party transactions, and similar matters.
    • Seconded to the Corporate Governance and Securities group in the legal department of Bristol-Myers Squibb Company, focusing primarily on Securities Exchange Act reporting, corporate governance, and federal securities law compliance (2015-2016).
