Ellen Corenswet is co-chair of Covington’s Venture Capital/Emerging Company Practice Group and a member of its Life Sciences Practice Group, resident in the New York office. She represents private and public companies, principally in the life sciences, media/social media, software, Internet and technology industries. She also represents venture capital firms and corporate venture groups in their investments in these companies. Ms. Corenswet typically acts as outside general counsel to company clients. She advises early stage companies on structuring issues, founders’ equity, compensation and equity plans, intellectual property issues, and early stage equity and convertible debt financings. She advises later stage companies on venture capital financings and private placements, corporate governance, equity incentives, IPOs and follow-on public and private offerings, SEC disclosure and compliance, and M&A transactions. Ms. Corenswet has practiced law in Northern California, Boston and New York and brings together a broad perspective and network from these three communities.

- Acorda Therapeutics, Inc., a specialty pharmaceutical company, in connection with its IPO, follow-on offerings, corporate governance and securities compliance and disclosure.
- TouchTunes Interactive Networks, Inc., the largest out-of-home digital entertainment network, in its Series E Preferred Stock financing led by 3i Group plc, and its acquisitions of White Rabbit Game Studio and Barfly Networks.
- VantagePoint Venture Partners in its Series C and D Preferred Stock investments in Premium Power Corporation and in a number of other venture capital investments.
- TrioMed Innovations Corp. in its formation and simultaneous venture capital financing and acquisition of substantially all of the assets of Safe Life Corp.
- Memory Pharmaceuticals Corp., a biopharmaceutical company, in connection with its sale to Hoffmann-La Roche Inc. and previously in its IPO and PIPE financings.
- New Media Distribution, a Russian-language television programming production and content company, in an equity investment by a Russia-focused private equity fund and its subsequent offshore migration.
- AudioCodes, Inc., an Israeli telecommunications equipment manufacturer, in its US acquisitions of two venture-backed companies: Nuera Communications and Netrake Corporation.
