David Dunn is an associate in the firm’s Washington, DC office and a member of the Corporate practice group. He advises public and private companies in connection with federal and state securities law, corporate governance, transactional and general corporate law matters.
Representative Matters
- Represents Prosper Marketplace, Inc., named by the Wall Street Journal as one of the top 50 venture capital-backed companies, and its subsidiary Prosper Funding LLC in ongoing federal and state securities disclosure and reporting matters, including the registration of an ongoing offering of $500 million in “Borrower Payment Dependent Notes.”
- Advises public companies on Exchange Act reporting requirements, responses to SEC staff comment letters, proxy statement disclosures and securities compliance matters.
- Advised an oil and natural gas company on $1.85 billion in debt exchange offerings.
