Michael Lefever is resident in the Washington, DC office.  He engages in a general corporate practice with an emphasis on the federal securities laws.  A major portion of Mr. Lefever’s practice consists of counseling public company clients on SEC compliance matters, including the filing and disclosure obligations of public companies, executive compensation and securities trading and reporting by corporate insiders. He also is active in advising public companies on corporate governance matters, including compliance with the requirements arising under the Sarbanes-Oxley Act and imposed by the New York Stock Exchange and NASD listing standards.  Mr. Lefever also has a broad transactional practice encompassing the representation of issuers in registered debt and equity offerings, Rule 144A offerings and other private placements, the negotiation of syndicated credit facilities, and mergers and acquisitions.

Representative Matters

  • SEC regulatory advice to public companies, including Freddie Mac, The Interpublic Group of Companies, Inc., Navistar, Inc., Pepco Holdings, Inc., United Technologies Corporation, and Verizon Communications, Inc.
  • Representation of Pepco Holdings, Inc. and its subsidiaries Potomac Electric Power Company, Delmarva Power and Light Company and Atlantic City Electric Company, in public and private debt and equity financings and loan transactions.
  • Representation of Bacardi Limited in debt private placements and loan transactions.
