Dana T. (Tod) Ackerly II

Tod Ackerly has a broad corporate transactional and advisory practice.  He has represented numerous issuers and underwriters in domestic and cross-border public offerings and private placements of debt and equity securities and advised clients on the establishment of investment funds.  He has represented US companies in cross-border IPO’s in six non-US markets, including Australia, Canada, Euronext, Germany and the United Kingdom.  In addition, Mr. Ackerly has advised eight non-US financial institutions, including the Australian Stock Exchange and the Stockholm Stock Exchange, on issues arising under the US securities laws.

Representative Matters

• Represented SIX SegaInterSettle Ltd, the Swiss clearing and settlement agency, in connection with the establishment of an electronic system that permits trades in US securities issued under SEC Regulation S and Rule 144A to be settled in dematerialized form.
• Represented HepaHope, Inc. in its initial public offering in Germany and Luxembourg and listing on the Frankfurt Stock Exchange.
• Represented a California-based minerals exploration and development company in its initial public offering in Canada and listing on the Toronto Stock Exchange.
