Yu Cao has a broad range of experience advising on corporate and transactional matters. Combined with an extensive corporate practice background, his specialty is advising entertainment, media and sports organizations as well as other companies whose businesses are built around intellectual property, including with respect to their traditional transactions and to helping them structure complicated corporate, financing and investment transactions.
Representative Matters
Entertainment and Media industries include:
- Acting in the capacity of local PRC counsel and/or production attorney for foreign investors/producers/production companies in The Painted Veil, The Forbidden Kingdom, Survivor 15, and multiple other film and television projects.
- Acting as PRC counsel for the National Basketball Association in connection with its cooperation with the Wukesong Olympics Basketball Arena.
- Advising a leading privately-owned PRC film and television company with respect to its multi-million dollar corporate finance cooperation with a leading Asian PE fund.
Major projects in the general corporate transaction fields that Mr. Cao has advised on, whether in a lead PRC counsel position or otherwise, include:
- Advising a leading US investment bank in its proposed multi-million dollar investment in a China based business.
- Advising a leading US PE fund in its multi-million dollar investment in a China based business.
- Acting as local PRC counsel for a leading PRC power conglomerate, a leading PRC petrochemical conglomerate and other major Chinese corporations in their corporate restructuring and global IPO projects.
Previous Experience
Mr. Cao previously worked as an associate with a major US based international firm (including a year as in-house counsel for Warner Bros. Entertainment on secondment) and as a partner with a leading PRC law firm where he first started his law firm career in 1996. He advised on, negotiated and drafted contracts and other legal documents for preeminent multinational and Chinese entertainment/media companies in connection with film and television production, distribution, financing, marketing and exploitation, sound recordings, artist management, content rights acquisition and new media. Joined with his entertainment, media and sports industry expertise, Mr. Cao has extensive experience in corporate transactions, having advised on and conducted legal due diligence investigations and drafted legal documents in connection with high profile foreign direct investment, M&A transactions, capital market transactions and other corporate deals across multiple industries for both major multinational and Chinese corporations.
