Carolyn Taylor is a corporate partner in our New York office with a focus on private equity, venture capital and hedge funds as well as executive and equity compensation.  Her practice includes advising private equity, venture capital and hedge fund clients as well as private and public companies in acquisitions, joint ventures and other transactions, and advising sponsors of and investors in private equity, venture capital, hedge and other private investment funds.  Ms. Taylor also has extensive experience representing private equity funds in structuring and implementing management equity arrangements for their portfolio companies as well as representing executives and management teams on compensation and equity arrangements for private equity and corporate employment.  Ms. Taylor advises companies regarding the design and implementation of executive and equity compensation, change-in-control and severance arrangements.  She also represents both companies and executives in the preparation and negotiation of executive contracts including employment and separation agreements.

Representative Matters

  • Representation of Charlesbank Capital Partners, a private equity sponsor, in the management arrangements in connection with the leveraged buy-outs of Horn Industrial Services, The GSI Group and Zenith Products Corporation.
  • Representation of the management team of Boart Longyear in the negotiation of employment and equity arrangements in connection with the sale of the company and subsequent IPO.
  • Representation of the chief executive officer of a leading public apparel company in connection with his employment and equity arrangements.
  • Representation of Pantheon Group, a fund of funds, in its acquisition of a portfolio of existing fund interests in 20 private equity and venture capital funds.
