Cory Levine is a corporate associate in our Washington, DC office. Her practice includes advising public and private companies ranging from development stage companies to large public issuers in a broad range of transactional matters, including securities offerings, mergers and acquisitions, commercial transactions, and other general corporate matters.
Ms. Levine also provides assistance to registered and unregistered investment advisers on various status questions and ongoing compliance matters with respect to the Investment Advisers Act of 1940.
Representative Matters
- Represented a public utility company in a registered “equity forward” offering.
- Represented a major New York-based mezzanine fund in providing secured acquisition financing to a private equity-backed mitigation company.
- Assisted several private equity funds with the investment adviser registration process.
Pro Bono
- Representation of a nonprofit cancer research fundraising organization in preparation of bylaws, conflicts of interest policies, and application for tax-exempt status.
