Ciarra Chavarria is an associate in the firm’s New York office and a member of the Corporate Practice Group. Her practice focuses on corporate and securities law, with an emphasis on the representation of underwriters and issuers in equity and debt capital markets transactions. Ms. Chavarria also regularly advises clients on disclosure and other securities issues, SEC reporting, corporate governance and other corporate matters.

- Represented the underwriters in two public offerings of a leading provider of inpatient behavioral healthcare services.
- Represents clients in designing and implementing exchange- and SEC-compliant corporate governance policies and practices.
- Advised a leading developer, manufacturer, and marketer of life science tools and systems for genetic analysis in a proxy contest in connection with a hostile takeover bid by a large pharmaceutical company.
- Represented the underwriters in a public offering of a developer and commercial supplier of a diversified portfolio of advanced drug delivery systems.
- Represented the underwriters in the $130 million public offering of a specialty pharmaceutical company focused on gastrointestinal disorders.
- Represented the underwriters in a public offering of common stock of a biotechnology company focused on analytical tools based on mass spectrometry and X-ray devices.
Pro Bono
- Represents a group that advocates for the health and welfare of the Inwood area parks and environment in incorporating as a not-for-profit organization and obtaining tax-exempt status.
- Provides ongoing legal services and advice to a not-for-profit organization that provides literacy education support to adults, out-of-school youths and families.
- Represents Holocaust survivors in obtaining a pension from the German government.
- Represented a not-for-profit arts education organization in their reincorporation as a New York not-for-profit corporation.
