Brian Rosenzweig is special counsel in the firm’s New York office and a member of the Corporate Practice Group.  He practices corporate and securities law, with an emphasis on international and domestic capital-raising transactions and SEC reporting and compliance.  His practice predominantly involves capital markets transactions, including initial public offerings, follow-on equity offerings and high-yield debt offerings, involving issuers in the life sciences, telecommunications and insurance industries.  He also regularly advises boards and management on executive compensation disclosure and other securities law issues, corporate governance issues and general corporate matters.

Representative Matters

  • Represented the underwriters in the IPO of American Depositary Shares of 3SBio, Inc., a China-based biotechnology company.
  • Represented a Swedish issuer in connection with the 144A/Reg S offering of senior notes and PIK notes to refinance high yield and PIK bridge loans incurred in connection with the acquisition of Polkomtel, a Polish telecommunications provider.
  • Represented Darwin Professional Underwriters Inc., a specialty insurance group focused on the professional liability insurance market, in its IPO.
  • Represented the underwriters in the IPO of Cumberland Pharmaceuticals Inc., a specialty pharmaceutical company.
  • Represented the underwriters in two publicly registered offerings of high yield notes for HealthSouth Corporation, a provider of inpatient rehabilitative healthcare services.
  • Represented the underwriters in two public offerings of common stock of Bruker Corporation, a biotechnology company focused on analytical tools based on mass spectrometry and X-ray devices.
  • Represented the initial purchasers in the 144A/Reg S offering of high yield notes for the New York Times Company.

Pro Bono

  • Assisted The Ethical Community Charter School in evaluating and modifying its corporate governance practices as part of a successful charter renewal process.
  • Successfully represented the Latino Organization for Liver Awareness, a New York not-for-profit corporation, in its asset dissolution.
  • Conducting the asset dissolution of Alliance for the Arts, a New York not-for-profit corporation.
