Bruce Deming is a partner in the corporate group of the firm's San Francisco office.

Mr. Deming has a broad-based corporate and finance transactional and advisory practice, with significant experience handling domestic and cross-border mergers and acquisitions, patent acquisitions/monetizations, venture capital transactions, project finance and capital markets activities.

Mr. Deming serves as primary outside counsel to emerging growth and middle market companies, leading multinational corporations, venture capital funds, and individual entrepreneurs.  He has represented US, Canadian, European and Asian clients active primarily in the life sciences, clean technology and software industries.

Drawing on over 20 years of experience as a business executive, corporate attorney, and CPA, Mr. Deming offers a highly effective combination of legal, financial, and strategic skills.

Representative clients include Astellas, BBVA Compass, Borrego Solar Systems, Itochu, Microsoft, Prosper Marketplace, sanofi-aventis and Wells Fargo Bank.

Representative Matters

  • Astellas Pharma in its option agreement with Alavita Pharmaceuticals which grants Astellas the exclusive right to acquire all of Alavita’s assets related to Diannexin and certain development rights in exchange for option fees of up to $45.5 million and tiered sales-based payments.
  • Borrego Solar Systems, Inc., a leading integrator for commercial, public sector turnkey, grid-connected solar systems, in the sale of control to a leading Taiwanese manufacturer.
  • Microsoft in various strategic transactions, including:
    • its $1.1 billion acquisition of 800 patents from AOL, and its $550 million sale to Facebook of the right to acquire a portion of the AOL portfolio.
    • its patent monetization transaction with Nokia and Core Wireless involving 2000+ wireless patents; and
    • its $8.5 billion acquisition of Skype.
  • Sanofi in its venture capital and M&A activities.
  • Wells Fargo Bank in its proprietary capital markets and taxable and tax-exempt fixed income investment activities.
