- Seconded to multinational manufacturing company during that company’s transition from a spin-off to provide corporate governance and securities disclosure advice.
- Advised a multinational pharmaceutical company on its post-merger legal entity integration in Latin America.
- Represented Johnson & Johnson in its acquisition of SterilMed.
- Represented The Goodyear Tire & Rubber Company in its $500.0 million offering of mandatory convertible preferred stock and in its $1 billion offering of senior notes due 2020.
- Advised the Special Committee of Independent Directors of Charlotte Russe Holding, Inc. in the $380 million sale of Charlotte Russe to funds managed by Advent International Corporation.
- Represented Thomson Reuters in the sale of its Physicians’ Desk Reference business to Health Care Notification Network.
- Represented UBS AG in connection with its $21.5 billion offering of Auction Rate Securities Rights.
- Advised major European bank on regulatory and compliance issues relating to the operation of a US equity derivatives business.
- Represented Pfizer in its acquisition of Serenex.
