Alexander Clarke is an associate in the corporate practice group in the London office.
Mr. Clarke has broad experience in the corporate arena and his practice includes mergers and acquisitions, finance, private equity and private equity funds, securities, and general corporate and commercial advice. He specializes in matters relating to debt finance and lending arrangements, including cross-border syndicated loans for investment grade borrowers and other clients, project finance, acquisition finance, security arrangements and general intra-group and inter-group loan agreements. Mr Clarke has also advised a number of individual clients in relation to various lending transactions.
Mr. Clarke has gained particular experience working with UK and international clients in the financial, energy, consumer goods and technology sectors.
Representative Matters
- Advised Axis-Shield plc on the £235 million all cash public takeover offer from Alere, Inc., a US company listed on the New York Stock Exchange. Axis-Shield is an international company focused on the development and manufacture of important in vitro diagnostic tests for use in clinical laboratories and at the point of care. Axis-Shield is listed on the London Stock Exchange and also on the Oslo Stock Exchange. Alere’s offer for the company was initially made on a hostile basis and vigorously defended by Axis-Shield and its advisors. Ultimately, the board of Axis-Shield recommended an increased cash offer from Alere valuing the company at £235 million.
- Advising Bacardi Limited in relation to the negotiation and implementation of a US$1,500,000,000 revolving and swingline loan facility.
- The reorganization of the British horseracing industry involving the separation of the commercial activities of the British Horseracing Authority from its regulatory and governance activities.
- Representing Giorgio Armani S.p.A. in relation to various corporate transactions.
- Advising Bacardi Limited in relation to the negotiation and implementation of a syndicated US$2,000,000,000 loan facility and an associated US$1,000,000,000 bridging facility.
